These Terms of Service ("Terms") govern your use of the services provided by Spruce Local ("Company," "we," "us," or "our"). By engaging our services, you ("Client," "you," or "your") agree to these Terms in their entirety. If you have any questions, please contact us at [email protected] before proceeding.
1. Description of Services
Spruce Local provides local SEO and online presence management services for home service businesses, including but not limited to:
- Google Business Profile (GBP) optimization, management, and ongoing updates
- Review generation and reputation management
- Citation building and directory management across third-party platforms
- Social media content creation and posting (Facebook, Instagram, and others as agreed)
- Local SEO strategy, keyword monitoring, and ranking reports
- Monthly performance reporting with ranking heatmaps and activity logs
- AI search visibility optimization
The specific scope of work will be outlined in your onboarding materials and any subsequent communications. We reserve the right to adjust tactics and strategies as needed to deliver the best results for your business.
2. Account Access and Authorization
To perform our services effectively, you grant Spruce Local limited access to the following accounts and platforms as applicable:
- Google Business Profile: Manager or owner-level access to your GBP for the purpose of optimizing and managing your profile, responding to reviews, publishing posts, and updating business information.
- Facebook Business Page: Admin or editor access for the purpose of publishing content, managing reviews, and updating business information.
- Instagram Business Account: Access for the purpose of publishing content and managing your business presence.
- Additional platforms: As mutually agreed during onboarding, which may include Yelp, Bing Places, Apple Maps, or other directories relevant to your local market.
By engaging our services, you confirm that you are the rightful owner or authorized representative of these accounts. You retain full ownership of all accounts at all times. We will not transfer, sell, or otherwise compromise your account credentials. Access credentials will be stored securely and used solely for the purpose of delivering our services.
Upon termination of services, we will remove our access from all platforms within five (5) business days. You are responsible for ensuring you retain full administrative access to all accounts prior to engaging our services.
3. Third-Party Platform Disclaimer
This is an important section. Please read it carefully.
Our services involve optimizing your presence on third-party platforms, including but not limited to Google, Facebook, Instagram, Yelp, and various online directories. These platforms are owned and operated by independent companies over which we have no control.
You acknowledge and agree that:
- Google's search algorithm, ranking system, and Business Profile policies are proprietary and subject to change at any time without notice. No SEO provider, including Spruce Local, can guarantee specific search rankings, map positions, or visibility outcomes.
- We are not responsible for any actions taken by Google or any third-party platform against your account, including but not limited to profile suspensions, audits, ranking fluctuations, algorithm updates, verification issues, or account restrictions, including those triggered by the correction of pre-existing data inaccuracies or violations of third-party guidelines committed prior to the commencement of our services.
- Search rankings and local map positions are influenced by hundreds of factors, many of which are outside our control, including competitor activity, changes in search behavior, Google algorithm updates, and the overall competitive landscape of your market.
- We conduct all work in compliance with Google's published guidelines and best practices. We do not engage in black-hat SEO tactics, spam, fake reviews, or any practices that violate third-party platform terms of service.
- In the unlikely event that a third-party platform takes action against your account, we will work with you in good faith to resolve the issue to the best of our ability, but we cannot guarantee reinstatement or recovery of any specific ranking or status.
4. Client Responsibilities
To help us deliver the best results, we ask that you:
- Provide accurate and complete business information during onboarding, including business name, address, phone number, hours of operation, services offered, and service areas.
- Provide timely access to all required accounts within three (3) business days of onboarding.
- Occasionally share job-site photos or other content as requested, so we can keep your profiles active and engaging.
- Notify us promptly of any changes to your business information, including address changes, phone number changes, new services, or changes to operating hours.
- Review monthly reports and provide feedback or ask questions so we can continuously improve our strategy for your business.
- Not independently make changes to your Google Business Profile or engage other SEO providers to work on the same accounts without notifying us, as conflicting changes can undermine our efforts.
Acceptance of Work: All deliverables, reports, and profile updates shall be deemed accepted by the Client unless the Client provides written notice of any errors or objections within seven (7) business days of delivery or publication.
5. Payment Terms
- Billing cycle: Services are billed monthly in advance. Your billing date is determined by your onboarding date.
- Payment method: Payment is collected via secure online payment at the time of onboarding and recurs monthly on the same date.
- No long-term contract: Our service is month-to-month. You may cancel at any time before your next billing cycle. Cancellation requests received after the billing date will apply to the following billing cycle.
- Price changes: We reserve the right to adjust pricing with thirty (30) days' written notice. Continued use of our services after a price change constitutes acceptance of the new rate.
- Late payments: If payment is not received within seven (7) days of the due date, we reserve the right to pause services until payment is current.
6. The 180-Day Guarantee
We stand behind our work with the 180-Day Total Confidence Guarantee. If your local visibility has not measurably improved on your monthly ranking heatmap after ninety (90) days of active service, we will continue working at no additional charge for up to ninety (90) additional days until measurable improvement is achieved.
The guarantee is based on ranking heatmap data and tracking metrics as reported in your monthly reports. "Measurable improvement" means a documented positive change in your local search visibility for tracked keywords in your service area. The guarantee does not apply if:
- Account access has not been provided in a timely manner.
- Services have been paused or interrupted due to late payment.
- You have independently made significant changes to your Google Business Profile or engaged other SEO services on the same accounts.
- Google or a third-party platform has enacted changes outside our control (see Section 3).
7. Intellectual Property
All content, strategies, reports, and materials created by Spruce Local in the course of delivering services remain the property of Spruce Local until full payment has been received. Upon full payment, you retain ownership of all content published on your business profiles.
Our proprietary methodologies, reporting tools, templates, and internal processes remain the exclusive property of Spruce Local and may not be reproduced, shared, or resold.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this engagement, including business financial information, customer data, marketing strategies, and account credentials. This obligation survives termination of services.
9. Limitation of Liability
To the maximum extent permitted by law, Spruce Local shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to loss of revenue, loss of customers, or loss of search rankings.
Our total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to Spruce Local in the three (3) months immediately preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Spruce Local and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any third-party platform's terms of service, or any inaccurate or misleading information you have provided to us.
11. Termination
- By you: You may cancel services at any time by notifying us via email at [email protected]. Cancellation takes effect at the end of the current billing cycle.
- By us: We reserve the right to terminate services with thirty (30) days' written notice for any reason. In such cases, a prorated refund will be issued for any unused portion of the current billing cycle.
- Immediate termination: Either party may terminate immediately if the other party materially breaches these Terms and fails to cure the breach within fourteen (14) days of written notice.
Upon termination, we will remove our access from all platforms, deliver any final reports owed, and return or destroy any confidential materials as requested.
12. Data and Privacy
We handle your business data and account credentials with care. Our data practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
13. Modifications to These Terms
We may update these Terms from time to time. Material changes will be communicated via email with at least thirty (30) days' notice. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Spokane County, Washington.
